Atorus Academy™ Seminar Series Terms and Conditions

These Terms and Conditions (the "Terms") govern registration for and participation in the Atorus Academy Seminar Series as described in the applicable invoice (the "Series"), offered by Atorus Research Inc. ("Atorus" "we," "us," or "our"). By registering for the Series, you ("Customer" or "you") agree to be bound by these Terms. Each individual participating in a Series shall be a participant ("Participant"). If you are an employer, you shall be responsible for the actions or inactions of your Participants.

1. Registration

1.1 The Series is a set of live, instructor-led sessions delivered online or on-site over a defined period of time. When you enroll in a Seminar Series, you are reserving a seat in a scheduled group of learners who will attend multiple sessions together (each a "Session"). These Sessions take place at specific dates and times and are led by an instructor in real time.

1.2 When you enroll in a Series, you are registering for the full set of Sessions. Certificates are awarded based in part on attendance. Each Session builds upon concepts and techniques taught in the previous one. We recommend attending all Sessions to get the full benefit.

1.3 Registration is completed upon submission of the registration form or email and payment of the applicable fee (“Fees”).

1.4 We reserve the right to refuse or cancel registration at our discretion, including if the Series reaches capacity or if information provided by Customer is inaccurate.

2. Series Structure, Schedule, and Access

2.1 The Series consists of the Sessions described in the invoice. Live online Sessions are delivered using Microsoft Teams, unless otherwise specified.

2.2 Connection details are provided after registration.

2.3 We reserve the right to adjust the order, content, or number of Sessions, or substitute a presenter, provided the overall scope and value of the Series is not materially reduced. Material changes will be communicated in advance where reasonably possible.

2.4 Participants are responsible for ensuring they have a stable internet connection and compatible device for each Session. We are not responsible for connectivity issues on the Participant's end.

2.5 We do not record or permit recording of any Sessions in order to protect learner privacy. Supporting Materials (defined below) are shared for each Session so you can review the content if you need to miss a Session.

2.6 Some Sessions also have corresponding eLearning content available on Atorus Academy Online. These eLearning videos cover the same materials and topics as the instructor-led sessions and can be viewed at your convenience.

2.7 Sessions are delivered in English. Instructors aim to use clear language and explain technical terms. Learners are encouraged to ask questions during the Session.

2.8 Missed Sessions do not entitle Participants to a refund, discount, or extension of the Series. Participants will be provided with the content of all Sessions in form of a handout.

3. Fees and Payment

3.1 The Fees are payable at the time of registration via Stripe.

3.2 All Fees are in USD and exclusive of applicable taxes unless stated otherwise.

4. Cancellations, Refunds, and Transfers

4.1 Customer cancellation: Customers may cancel the Series registration and receive a credit towards a future Series if written notice is given at least five (5) business days before the first Session. Cancellations made after this period, or after the Series has begun, are non-refundable and no credit for future Series will be given.

4.2 Atorus cancellation or rescheduling: Atorus reserves the right to cancel, postpone, or reschedule any Session or the entire Series due to insufficient enrollment, presenter unavailability, technical failure, or circumstances beyond our reasonable control. If Atorus cancels a Session outright, a makeup will be provided. If Atorus cancels a Series, Customer will receive credits for a future Series or may request a refund in writing.

4.3 No refunds will be issued for failure to attend a Session or Series.

5. Intellectual Property

5.1 All materials provided during the Series, including the training itself, slides, handouts, workbooks, and other content ("Materials"), are the property of Atorus or its licensors and are protected by copyright and other intellectual property laws.

5.2 Customer agrees that Atorus owns all rights, title, and interest in and to the Materials. Customer agrees not to assert any claim of ownership or otherwise challenge Atorus ownership in and to the Materials or any part thereof.

5.3 Customer shall, and shall cause any Participant, to take all reasonable steps to make sure that no person or entity accesses Customer's account or otherwise takes any other action which would violate the terms and conditions of these terms.

5.4 Participants are granted a limited, non-exclusive, non-transferable license to use the Materials for personal, non-commercial reference purposes only, including after the Series concludes, unless otherwise stated.

5.5 Participants may not record, reproduce, distribute, resell, publicly display, or create derivative works from the Materials or any Session without our prior written consent.

6. Code of Conduct

6.1 Participants agree to engage respectfully with presenters and other attendees across all Sessions. We reserve the right to remove any Participant from a Session or the remainder of the Series, without refund, for disruptive, abusive, or unlawful conduct.

6.2 Unauthorized recording or screen-capturing of any Session by Participants is prohibited unless expressly permitted by us.

7. No Professional Advice / Educational Purpose Only

7.1 The Series is provided for general educational and informational purposes only. Nothing presented in any Session constitutes professional, legal, financial, medical, or other advice specific to your circumstances.

7.2 Customer should seek independent professional advice before acting on any information presented during the Series.

8. Disclaimer of Warranties

8.1 The Series, individual Sessions, and Materials are provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to accuracy, completeness, or fitness for a particular purpose.

8.2 Atorus does not guarantee uninterrupted or error-free delivery of any Session, including with respect to third-party platforms used to host them.

9. Limitation of Liability

9.1 To the fullest extent permitted by law, Atorus and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your participation in the Series.

9.2 Our total aggregate liability for any claim arising out of these Terms or the Series shall not exceed the total amount paid by the Customer for the Series.

9.3 Nothing in these Terms limits liability that cannot be excluded or limited under applicable law.

10. Indemnification

Customer agrees to indemnify, defend, and hold harmless Atorus from any and all claims, liabilities, and expenses, including but not limited to, reasonable attorneys' fees and costs, arising out of Customers' use of the Materials or breach of any provision of these Terms. Atorus reserves the right, in its sole and exclusive discretion and at its own expense, to assume the exclusive defense and control of any matter otherwise subject to such indemnification obligations.

11. Injunctive Relief

The parties agree that, in case of a breach of these Terms, monetary damages may not be adequate remedy and that damaged party shall, whether or not it is pursuing any remedies at law, be entitled to seek equitable relief, including but not limited to preliminary and permanent injunctions, without bond or other security upon any actual or express threatened breach of any provision of these Terms.

12. Privacy

12.1 Personal information collected during registration will be handled in accordance with our Privacy Policy, available at https://www.atorusresearch.com/privacy-policy/.

12.2 By registering, you consent to receive communications related to the Series, including Session reminders, and any follow-up materials. You may unsubscribe from marketing communications at any time.

13. Third-Party Platforms

The Series may be hosted on third-party platforms (e.g., Zoom, YouTube, Teams, a learning management system). Use of these platforms is also subject to the respective third party's own terms of service and privacy policy, which we encourage you to review.

14. Amendments

We reserve the right to modify these Terms at any time. Material changes will be communicated to Customers via email prior to the affected Session(s). Continued registration or attendance after such notice constitutes acceptance of the revised Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Delaware, without regard to conflict of law principles.
